1. Definitions

When engaging our services, you agree to:

• Provide accurate and complete information required for project execution in a timely manner
• Make payments according to the agreed schedule and terms
• Use our services only for lawful purposes and comply with all applicable regulations
• Not attempt to reverse engineer, decompile, or disassemble any proprietary software
• Obtain necessary rights for any materials you provide for use in projects
• Designate a primary contact person for project communication

4. Intellectual Property Rights

4.1 Ownership: Unless otherwise agreed in writing, all intellectual property rights in our pre-existing materials, tools, frameworks, and methodologies remain our exclusive property.

4.2 Deliverables: Upon full payment, we transfer rights to the specific deliverables as outlined in the project agreement. Some projects may include third-party components with their own licensing terms.

4.3 License: For certain services, we may grant a limited, non-exclusive license to use our proprietary technology rather than transfer ownership.

4.4 Moral Rights: We retain the right to be identified as the creator of the work in accordance with copyright law.

5. Payments and Fees

• Payment terms will be specified in individual project agreements or service contracts
• Late payments may incur additional charges at 1.5% per month or the maximum rate allowed by law
• Custom development projects typically require a 30-50% initial deposit
• Recurring services are billed monthly in advance unless otherwise specified
• All fees are exclusive of taxes, duties, or government charges unless stated otherwise
• Expenses incurred on your behalf (travel, third-party services, etc.) will be billed separately

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information exchanged during the engagement period and for 3 years thereafter, except for information that:

• Was already known or becomes publicly available through no breach of these Terms
• Is independently developed without reference to the confidential information
• Must be disclosed by legal requirement (with prior notice where possible)

7. Limitation of Liability

Our total liability for any claim shall not exceed the fees paid for the specific service in question during the 6 months preceding the claim. We shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Issues arising from third-party services, APIs, or components
• Modifications made to deliverables by unauthorized parties
• Events beyond our reasonable control (force majeure)

8. Service Modifications and Updates

We continuously improve our services and reserve the right to:

• Modify or discontinue any service with 30 days notice (except for critical security issues)
• Apply necessary updates to maintain security, compliance, and functionality
• Change service features or specifications when reasonably required
• Limit availability in certain regions if required by law or business considerations

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes shall first attempt resolution through good faith negotiations between the parties. If unresolved after 30 days, disputes shall be submitted to mediation in Dhaka before pursuing legal action in the courts of Bangladesh.

We may update these Terms periodically to reflect changes in our services or legal requirements. We will notify users of significant changes through email or prominent notices on our website. Continued use of services after changes constitutes acceptance of the new Terms.
